LEGAL REPRESENTATION OF FOREIGN SHAREHOLDERS, ATTORNEY-IN-FACT

When doing business in Brazil, a foreign company must permanently maintain a legal representative with powers to sign on behalf of foreign partners, solve issues related to the business, be liable to the legal issues and receive summons on behalf of the company overseas. This appointed legal representative does not necessarily need to be Brazilian and a Brazilian partner is not required. However, if the legal representative is a foreigner, they must be resident and domiciled in Brazil, with a permanent visa.

The Brazilian Local Manager
The General Manager of your company must be an individual with permanent residence. The local manager may be, but does not have to be, a shareholder. The shareholders, who may attribute a specific designation to the Local Manager, appoint them. The manager’s roles and responsibilities are set forth in applicable legislation and in the company’s articles of association.

DISSOLUTION AND LIQUIDATION OF COMPANIES

Liquidator is the name given to the bankruptcy trustee of companies being liquidated. Briefly, it is the professional whose function is to manage the dissolved company to go out of business, collect the assets, transform them into cash, pay the liabilities and share the surplus among the partners. This professional, usually a lawyer, accountant, or economist, is a trusted individual of the Court, who will coordinate and organize the process for the company’s dissolution.
